Terms of Service
Effective [Effective date]
These Terms of Service (the "Terms") are an agreement between you and [Company legal name] ("Shepherd's View," "we," "us") governing your use of Shepherd's View: the website at shepherdsview.app, the church websites, member apps and dashboards we host, and related services (the "Service").
Please read section 23 carefully. Except as it provides, disputes between you and Shepherd's View will be resolved by binding individual arbitration, not in court, and you waive the right to participate in a class action. You may opt out within 30 days as described there.
1. The agreement
1.1 Who these Terms cover. These Terms apply to four kinds of users, and some sections apply only to some of them:
- a "Church": a church, ministry or other organization that signs up for the Service, on whose behalf an account is created;
- "Church Staff": individuals a Church authorizes to administer its account, such as its owner, administrators, pastors and editors;
- "Members": individuals with an account at a Church's member area; and
- "Visitors": anyone using a Church's website or our website without signing in.
"You" means the person using the Service and, where you act for a Church, that Church as well.
1.2 Acceptance. You accept these Terms by creating an account, by clicking to agree, or by using the Service. If you sign up or use the Service for a Church, you accept these Terms on the Church's behalf. If you do not agree, do not use the Service.
1.3 Order of precedence. If a Church has signed a separate written agreement with us for the Service, that agreement controls where it conflicts with these Terms. Our Privacy Policy explains how we handle personal information and is part of these Terms. A Church's own terms or policies govern the relationship between that Church and its Members and Visitors; they do not bind us.
2. Eligibility and authority
2.1 Churches. To sign up a Church, you must be at least 18, and you represent that you are authorized to bind the Church to these Terms and that the information you provide is accurate. The Service is for organizations, not for personal or household use by the person signing up.
2.2 Members. You must be at least 13 to create a Member account. If you are under 18, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms for you. A Church may set its own additional requirements.
2.3 Restricted persons. You may not use the Service if you are barred from doing so under the laws of the United States, or if you are located in, or are a national of, a country or region subject to comprehensive U.S. sanctions, or are on a U.S. government restricted-party list.
3. Accounts and security
You are responsible for the accuracy of your account information, for keeping your password and two-factor device secure, and for all activity under your account. Church administrators and anyone with pastoral access must use two-factor sign-in where the Service requires it. Tell us, or for a Member account your Church, promptly at [support email] if you suspect unauthorized access. A Church is responsible for the actions of its Church Staff and for promptly removing access for people who should no longer have it. We may require you to change your password or re-verify your identity to protect the Service.
4. The Service
4.1 What we provide. The Service provides tools for Churches to publish websites; offer a member area with prayer, directory, groups, check-in, giving, events and Lamp; communicate by email, push notification and text message; and administer and care for their congregations through a dashboard.
4.2 Changes. We continually develop the Service and may add, change or remove features. If we remove a feature that is material to Churches' use of the Service, we will give Churches reasonable notice where practical.
4.3 Demo and preview features. Our live demo and any feature we label as preview, beta or similar are provided as is, may be changed or removed at any time, and are excluded from any commitments in these Terms. Demo copies and their contents are erased automatically.
4.4 Availability and support. We work to keep the Service available, and we post known problems and planned maintenance on our status page. We do not guarantee any level of availability or response time, and the Service may be interrupted for maintenance, upgrades, emergencies or reasons outside our control. We provide support by email on a reasonable-efforts basis.
5. Trials, subscriptions and fees Churches
5.1 Free trial. A new Church may receive a free trial for the period shown at sign-up. No payment card is required to start a trial. When the trial ends, continued use requires a paid subscription. If one is not started, the account becomes past due and is handled under section 5.5.
5.2 Subscriptions and renewal. Paid subscriptions are billed in advance for the billing period you choose (for example, monthly) at the price shown when you subscribe, and renew automatically for successive periods of the same length until cancelled. By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method at the start of each period until you cancel. You can cancel at any time from the dashboard's billing page; cancellation takes effect at the end of the current billing period, and you will not be charged again.
5.3 Price changes. We may change our prices. We will give the Church's account owner at least 30 days' notice by email before a price increase applies to its subscription, and the new price applies from the next renewal after the notice period. If you do not agree, you may cancel before the increase takes effect.
5.4 Taxes. Fees do not include taxes. You are responsible for all sales, use, value-added and similar taxes associated with your subscription, other than taxes on our income. If your Church is tax-exempt, you must provide valid exemption documentation; otherwise we may collect applicable taxes.
5.5 Late payment. If a payment fails or a subscription ends without being renewed, the account becomes past due. The Church's site stays open for a grace period of 14 days, after which we may suspend the account until payment is made. During suspension, the Church's site, member area and dashboard are unavailable.
5.6 No refunds. Except where required by law or where we state otherwise in writing, fees are non-refundable, including for partial billing periods, unused features, and periods of suspension.
5.7 Usage limits. Some features have limits, such as Lamp AI answers or text messages per month. We may set and change reasonable limits, and features may stop working until the limit resets.
6. Church responsibilities Churches
6.1 Your people and your policies. The Church is responsible for its relationship with its Members, Visitors and donors, and for how it uses the Service and the information in it. The Church will:
- maintain and publish its own privacy policy that accurately describes, at a minimum, the information the Church collects through the Service and how it uses and shares it. This includes that authorized Church Staff can see the member-area pages a signed-in Member opens; that pastors may see prayer requests, Lamp questions (as the Church configures), life events, monthly check-in answers and other information described in our Privacy Policy; that information may be processed by AI services if the Church enables AI answers; and that Shepherd's View hosts the information and its personnel can access it as described in our Privacy Policy;
- obtain all notices, consents and authorizations required by law to collect and use personal information through the Service, including information about religious beliefs, health and children, and including parental consent where required;
- configure the Service's settings, roles and permissions appropriately, including Lamp's notice and log mode, prayer moderation, directory settings and who has pastoral access, and keep the Lamp notice accurate;
- use communications features lawfully: obtain any consent required under the Telephone Consumer Protection Act and similar laws before texting anyone, honor opt-outs, comply with the CAN-SPAM Act and carrier and messaging-industry requirements, and complete any registration required for its texting number;
- comply with its legal obligations to report abuse, neglect or threats of harm, and not rely on the Service for those obligations; and
- respond to requests from its Members and others to access, correct or delete their information, with our reasonable help.
6.2 Data you must not put in the Service. The Service is not designed for, and the Church must not use it to store, government identification numbers (such as Social Security numbers), full payment card numbers or bank account numbers outside our payment processor's forms, protected health information governed by HIPAA, or information subject to other special legal regimes that require contractual commitments we have not made. Notes and free-text fields must be used with this in mind.
6.3 Licensed content. If the Church connects a licensed Bible translation, a YouTube channel or another third-party service using its own key or account, the Church is responsible for complying with that provider's terms, including any display limits.
6.4 Domains. The Church represents that it has the right to use any domain it connects. Connecting a domain requires DNS changes that the Church makes and controls.
6.5 Built-in giving. If the Church uses built-in giving, it must create and maintain its own Stripe account and accept Stripe's terms. The Church, not Shepherd's View, is the recipient of gifts and the merchant of record. The Church is responsible for its tax status, donor acknowledgments and receipts, giving statements, refunds, disputes and chargebacks, and compliance with charitable-solicitation and tax laws. We do not hold or transmit funds. If we charge a platform fee on gifts, it will be disclosed in the dashboard before it applies and deducted by Stripe.
6.6 Content you import. If the Church imports content from an existing website, it represents that it has the right to copy and publish that content.
7. Church Data Churches
7.1 Ownership. As between the Church and us, the Church owns the content and information submitted to the Service by or for the Church, its Church Staff, Members and Visitors ("Church Data"), subject to Members' and Visitors' rights in their own content under section 13.
7.2 Our license. The Church grants us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and modify Church Data as needed to provide, support, secure and improve the Service, to comply with law, and as described in our Privacy Policy and these Terms. This license lasts until the Church Data is deleted from the Service and our backups.
7.3 How we process Church Data. We process personal information in Church Data on the Church's behalf, as its service provider, to provide the Service and as these Terms and our Privacy Policy describe. We will not sell it, share it for cross-context behavioral advertising, or use it to train AI models. We may also use Church Data: (a) to secure, maintain, troubleshoot and support the Service; (b) to detect and prevent fraud, abuse and violations of these Terms; (c) to comply with law and legal process; and (d) to create aggregated or de-identified information that does not identify the Church or any individual, which we may use for any lawful purpose.
7.4 Platform administration. The Church acknowledges and agrees that our authorized personnel can access Church Data, including by signing in to the Church's dashboard with full administrative and pastoral access, to provide support, troubleshoot, maintain and secure the Service, investigate misuse, and comply with law, and that we are not required to request permission or give notice before doing so. We keep an internal record of this access.
7.5 Service providers. We use service providers to host and operate the Service, as listed in our Privacy Policy. We are responsible for their performance of our obligations under these Terms. We may change service providers, and will update the list in our Privacy Policy when we do.
7.6 Security and incidents. We maintain administrative, technical and physical safeguards designed to protect Church Data, as described in our Privacy Policy. If we become aware of unauthorized access to Church Data in our systems, we will notify the Church without undue delay, provide information reasonably available to us to help the Church meet its own obligations, and take reasonable steps to contain the incident.
7.7 Exports. While the Church's account is active, authorized Church Staff can download a complete copy of Church Data from the dashboard. Members can download their own information from the member app.
7.8 After cancellation. When a Church's account is cancelled, its site, member area and dashboard close. We will permanently delete Church Data 60 days after cancellation, except that copies may remain in backups until they expire in the ordinary course. Until deletion, the Church may ask us to reactivate the account or to provide an export by contacting [support email]. Self-service export is not available while an account is suspended or cancelled. After deletion, Church Data cannot be recovered. We may retain records we need for legal, tax, accounting or security purposes, such as billing records and our internal records.
8. Suspension, cancellation and termination
8.1 By the Church. A Church may cancel its subscription at any time as described in section 5.2, and may ask us to cancel its account and delete its Church Data at any time.
8.2 By us. We may suspend or cancel an account, or a user's access, immediately and without prior notice if: (a) fees are past due after the grace period; (b) we reasonably believe the account or user has violated these Terms, including section 12, or exposes us, other users or the public to legal liability or harm; (c) we are required to by law; or (d) an account has been suspended for non-payment for more than 30 days. We may also terminate the Service for convenience on at least 60 days' notice to the Church, in which case we will refund any prepaid fees for the period after termination. Where practical and lawful, we will tell the Church why.
8.3 Members. A Church may remove or deactivate a Member's account at any time. A Member may delete their own account from the member app at any time. If a Church's account is suspended or cancelled, its Members lose access too.
8.4 Effect. When an account is cancelled or terminated, the right to use the Service ends, and section 7.8 applies to Church Data. Sections that by their nature should survive will survive, including sections 5.4, 5.6, 7.3, 7.8, 9.4, 13, 15, 16 and 19 through 27, and any unpaid fees.
9. Using a Church's site and member app Members and Visitors
9.1 Your Church provides it. Each Church's website and member area is provided by that Church using the Service. The Church decides who may join, what features are available, who on its staff can see what, and how it uses your information. Questions about membership, content or how the Church uses your information should go to the Church. We are not responsible for a Church's content, decisions, communications or conduct.
9.2 What the Church can see. When you use a Church's member area, authorized Church Staff can see information you provide and activity information, including which pages of the member area you open and when, your attendance and check-ins, and, depending on the Church's settings and your choices, your prayer requests, Lamp questions, About me details, life events and monthly check-in answers. Our Privacy Policy describes this in detail.
9.3 Community features. Prayer requests, the directory and groups are shared with other Members as the features and your settings describe. Be thoughtful about what you share about other people, and do not share another person's private information without their permission. Churches may moderate, hide or remove content.
9.4 Not confidential or privileged. Information you share through the Service, including with pastors, is not a confidential or privileged communication by reason of being shared through the Service, and may be seen as described in our Privacy Policy and disclosed where required by law.
10. Giving Members and Visitors
When you give through a Church's site, your gift is made to that Church, which is responsible for how gifts are used, acknowledged and receipted, and for any refund. Payments are processed by Stripe under Stripe's terms, and your payment details are provided directly to Stripe. Recurring gifts continue at the frequency you choose until you stop them from the Church's "My giving" page (we email you a sign-in link) or ask the Church to stop them. Questions about a gift, refunds and tax statements should go to the Church. A Church may link to or embed a different giving provider, whose terms apply.
11. Emails, texts and notifications
By creating an account, you agree that we and your Church may send you service-related emails, such as sign-in, approval, security and account messages. Newsletters can be turned off using the unsubscribe link. If you sign up for a Church's text messages, you will be asked to confirm by replying YES; message and data rates may apply; message frequency varies; reply STOP to stop and HELP for help. Texts are sent on behalf of the Church, which is responsible for their content. Push notifications can be turned off in your browser or account. Churches receive service communications from us at the account owner's and administrators' email addresses, and agree that we may provide notices electronically.
12. Acceptable use
You will not, and will not help anyone else to:
- use the Service in violation of law, or to infringe or misappropriate anyone's intellectual property, privacy or publicity rights;
- post or send content that is unlawful, defamatory, harassing, threatening, sexually explicit, exploits or endangers children, incites violence, or promotes terrorism;
- send spam, unsolicited bulk messages, or texts or emails without the consents the law requires;
- impersonate any person or organization, misrepresent your affiliation, or create a site that imitates another organization;
- collect, scrape or harvest information about Members or other users, or use directory or member information for purposes unrelated to the Church's community;
- use the Service to collect information about people for unlawful discrimination, stalking or surveillance of others;
- probe, scan or test the vulnerability of the Service, breach or circumvent security or authentication, or access data you are not authorized to access;
- interfere with or disrupt the Service, introduce malware, or place an unreasonable load on our infrastructure;
- use the Service, including Lamp, to build or train a competing product or AI model, or reverse engineer the Service except where the law expressly permits it; or
- resell, sublicense or provide the Service to third parties except as a Church providing it to its own Members and Visitors.
We may remove content, disable features, or suspend accounts that we reasonably believe violate this section. We are not obligated to monitor content, and we do not decide matters of religious doctrine or practice.
13. Content and intellectual property
13.1 Your content. You keep ownership of content you submit to the Service ("Your Content"). You grant us, and the Church whose site or member area you use, a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute and adapt Your Content as needed to operate and provide the Service and the Church's site and member area, consistent with the settings you choose. You represent that you have the rights needed to grant this license and that Your Content does not violate these Terms.
13.2 Our property. The Service, including its software, designs, templates, styles, text we provide, Lamp, and our trademarks and logos, is owned by Shepherd's View or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant Churches and their authorized users a limited, non-exclusive, non-transferable, revocable right to use the Service during the subscription. Starter text and templates we provide may be used and modified on the Church's site. No other rights are granted.
13.3 Bible text. Public-domain translations are provided for use in the Service. Licensed translations are provided under their publishers' terms through the Church's own access.
13.4 Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
14. Copyright complaints
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. To report content on the Service that you believe infringes your copyright, send our designated agent a written notice that includes: your physical or electronic signature; identification of the copyrighted work; identification of the material and where it appears on the Service (such as its web address); your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner.
Designated agent: [Designated DMCA agent], [Mailing address], [DMCA email].
If your content was removed and you believe it was a mistake or misidentification, you may send a counter-notice with the information the DMCA requires. We may restore the content unless the complaining party files a court action within the time the law provides. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. We may forward notices to the Church concerned.
15. Lamp and AI features
15.1 What Lamp is. Lamp suggests Bible passages and, if a Church enables AI answers, short explanations generated by an AI model. Verse text shown comes from the Service's Bible database. AI-generated explanations may be inaccurate, incomplete, out of context or inconsistent with a Church's teaching, even though Lamp is instructed to follow the Church's statement of faith.
15.2 Not a pastor, counselor or crisis service. Lamp is a study aid. It is not a pastor, does not speak for God or for any Church, and does not provide counseling, medical, mental-health, legal or financial advice. Lamp's crisis detection is automated and will miss some situations and flag others in error. If you or someone else is in danger, call 911 or your local emergency number. For mental-health crisis support in the United States, call or text 988.
15.3 Your responsibility. You are responsible for how you use Lamp's output. Read passages in context and talk with your pastors about important matters. Do not enter information about other people that they would not want shared.
15.4 Churches. A Church that enables AI answers is responsible for that choice and for telling its Members that questions are processed by an AI service. Lamp AI is provided through Amazon Bedrock, or a server the Church chooses where we allow it, subject to usage limits.
16. Spiritual content; no professional advice
Religious, spiritual and pastoral content on the Service is provided by Churches, Church Staff and Members, not by Shepherd's View, and reflects their own beliefs. We do not endorse any doctrine or teaching, and we are not responsible for spiritual guidance given through the Service. Nothing on the Service is professional advice of any kind. The Service is not an emergency service and is not monitored in real time. Features such as the Shepherd's View, Needs Attention lists, check-ins and crisis alerts are aids for Church Staff, may be incomplete or wrong, and do not replace pastoral attention or a Church's own safeguarding practices.
17. Third-party services
The Service works with third-party services, such as Stripe, Amazon Web Services, Cloudflare, Google Maps, YouTube, Vimeo, Facebook, Bible-text providers and external giving providers, and may link to third-party websites. Your use of third-party services is governed by their terms and policies. We are not responsible for third-party services, and we may change or discontinue integrations if a provider changes its terms or stops making its service available.
18. Privacy
Our Privacy Policy describes how we collect, use and disclose personal information, including the information visible to Churches and to our personnel. By using the Service, you acknowledge that your information will be handled as described there.
19. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SHEPHERD'S VIEW DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE; THAT DATA WILL NOT BE LOST; THAT AI OUTPUT, DERIVED INFORMATION, ALERTS OR STATISTICS WILL BE ACCURATE OR COMPLETE; OR THAT THE SERVICE WILL MEET ANY CHURCH'S LEGAL OR REGULATORY OBLIGATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
20. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) SHEPHERD'S VIEW AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DONATIONS, GOODWILL, OR DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS THE CHURCH PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100). FOR MEMBERS AND VISITORS, WHO DO NOT PAY US, OUR TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND STATUTE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR FRAUD OR FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE THE LAW PROHIBITS ITS LIMITATION.
21. Indemnification
21.1 Churches. The Church will defend, indemnify and hold harmless Shepherd's View and its affiliates, officers, employees and contractors from and against any third-party claims, and related losses, damages, fines, penalties, costs and reasonable attorneys' fees, arising out of or relating to: (a) Church Data or the Church's content; (b) the Church's use of the Service, including its communications, texting and email practices and consents; (c) the Church's collection, use and disclosure of personal information, including its notices to and consents from Members, Visitors and parents; (d) gifts, donor receipts, refunds and tax matters; (e) the conduct of its Church Staff, Members it admits, and group leaders; or (f) its breach of these Terms or applicable law.
21.2 Individual users. To the extent permitted by law, you will indemnify Shepherd's View against third-party claims arising out of Your Content or your violation of these Terms or the law.
21.3 Procedure. We will give prompt notice of a claim (though delay relieves the indemnifying party only to the extent it is prejudiced), reasonable cooperation at the indemnifying party's expense, and control of the defense, except that the indemnifying party may not settle a claim in a way that imposes obligations on us or admits fault on our behalf without our consent. We may participate with our own counsel at our own expense.
22. Informal resolution
Before starting any proceeding, you and we agree to try to resolve any dispute informally by sending a written notice describing the dispute and the relief requested: to us at [legal notices email], and to you at the email address on your account. If the dispute is not resolved within 60 days, either party may proceed under section 23.
23. Disputes and arbitration
23.1 Agreement to arbitrate. Except as provided in section 23.4, any dispute, claim or controversy arising out of or relating to these Terms or the Service, including its formation, scope, enforceability or validity, will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules for disputes with a Church, and under its Consumer Arbitration Rules for disputes with an individual using the Service for personal purposes. The Federal Arbitration Act governs this section. A single arbitrator will decide the dispute and may award the same individual relief a court could, but only in favor of the individual party seeking relief and only to the extent needed for that party's individual claim.
23.2 Location and fees. Arbitration will take place in [City, State], or by video conference, or for individuals, in the county where you live if you prefer. For individual consumer claims, we will pay the AAA filing, administrative and arbitrator fees beyond the amount you would pay to file in court, unless the arbitrator finds your claim frivolous.
23.3 Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any representative proceeding. If this section 23.3 is found unenforceable as to a claim, that claim must be decided by a court as provided in section 24, and not in arbitration.
23.4 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized access to or misuse of the Service.
23.5 Mass filings. If 25 or more similar demands are filed against us by or with the help of the same or coordinated counsel, the parties agree that the AAA's mass-arbitration supplementary rules apply, and that the demands may be administered in batches.
23.6 Opt-out. You may opt out of this agreement to arbitrate by emailing [legal notices email] within 30 days after you first accept these Terms, with your name, the email address on your account, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
23.7 Jury waiver. To the extent permitted by law, if a dispute proceeds in court, you and we waive any right to a jury trial.
24. Governing law and venue
These Terms are governed by the laws of the [State], without regard to its conflict-of-laws rules, and by the Federal Arbitration Act for section 23. Subject to section 23, the state and federal courts located in [City, State] have exclusive jurisdiction over any dispute, and you and we consent to their personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25. Changes to these Terms
We may update these Terms. We will post the updated Terms with a new effective date. For material changes, we will notify Church account owners by email or in the dashboard at least 30 days before the changes take effect, except for changes required by law or made for security reasons, which may take effect sooner. Continued use of the Service after the effective date means you accept the updated Terms. If a Church does not agree, it may cancel before the changes take effect. Changes to section 23 will not apply to a dispute of which we had notice before the change.
26. General
Notices. We may give notices by email to the address on the account, in the dashboard, or by posting on the Service. Legal notices to us must be sent to [legal notices email] and to [Mailing address].
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
Force majeure. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, internet or utility failures, failures of third-party hosting or infrastructure providers, labor disputes, government action, or attacks on the Service, other than payment obligations.
Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest will remain in effect. A failure to enforce a provision is not a waiver.
Entire agreement. These Terms, together with our Privacy Policy and any order or written agreement referred to in section 1.3, are the entire agreement between you and us about the Service and supersede prior agreements on that subject.
Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship. There are no third-party beneficiaries, except that our affiliates and personnel may rely on sections 20 and 21.
Interpretation. Headings are for convenience only. "Including" means "including without limitation."
